Terms of Service
Please read these terms carefully before using our services.
Welcome to KeyGrow LLC ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website keygrow.co, our marketing services, lead generation services, and any related tools, forms, SMS communications, or digital products (collectively, the "Services").
By accessing or using our Services, you agree to these Terms. If you do not agree, please discontinue use immediately.
1. Acceptance of Terms
By using our website or submitting your information through any form, you confirm that:
- You are at least 18 years old.
- You agree to these Terms and our Privacy Policy.
- You will use our Services in compliance with all applicable laws.
2. Description of Services
KeyGrow LLC provides:
- Local SEO and Answer Engine Optimization (AEO) subscription services for small businesses
- Digital marketing services including Google Ads, Bing Ads, SEO, and PPC management
- Lead generation services
- Sales funnel development and consulting
- AI-driven automation and follow-up systems
- Website development services
- Educational and informational content
- Client onboarding, audits, and strategy sessions
Subscription Plans
Local SEO + AEO subscriptions are offered in three tiers, each with a defined set of monthly deliverables:
- Foundation — entry tier for businesses establishing their local presence.
- Accelerate — expanded scope for businesses ready to dominate their service area.
- Authority — maximum coverage for businesses pursuing market leadership.
The current set of deliverables for each tier — including content volume, citations, backlinks, AEO prompt tracking, programmatic page builds, and reporting cadence — is published at keygrow.co/local-seo-aeo and is incorporated into these Terms by reference. Plan deliverables may evolve over time; existing subscribers will receive at least 30 days' notice of any material changes that would reduce the deliverables in their tier.
We reserve the right to modify or discontinue any portion of the Services at any time.
3. User Responsibilities
Users agree not to:
- Use the Services for unlawful, fraudulent, or harmful activities
- Interfere with or disrupt website functionality
- Submit false or misleading information
- Attempt to access restricted areas or bypass security measures
You are responsible for the accuracy of information you provide, including contact details used for communication.
4. SMS and Email Communications
By submitting your phone number or email through our website or advertising forms, you consent to receive:
- Service updates
- Follow-up messages
- Marketing communications
- Appointment reminders
- Lead qualification messages
SMS Opt-Out:
You may opt out at any time by replying STOP to any message. Message and data rates may apply depending on your carrier.
We do not sell or share phone numbers with third parties for marketing purposes.
5. Payment Terms
For paid services:
- Subscription fees are billed in advance on the same calendar day each month, based on the plan you selected at checkout.
- All payments are processed securely through Stripe. We do not store full card numbers on our servers.
- Failed renewal payments are retried automatically by Stripe over a short window (typically 7–10 days). If the card cannot be charged after retries, the subscription will be canceled and Services paused.
- Any third-party ad spend (e.g., Google Ads, Meta Ads) is the client's responsibility unless otherwise noted.
- Late or unpaid invoices may result in paused Services until the payment is updated.
We reserve the right to update pricing with at least 30 days' written notice to existing subscribers.
6. Refunds & Cancellation
Refund Window — First 2 Days Only
A full refund of your most recent monthly payment is available within 2 days of the original purchase date. To request a refund within this window, you may:
- Reply to any email from KeyGrow (including the welcome email, onboarding confirmation, or any team correspondence).
- Email sales@keygrow.co directly.
- Cancel before substantial work has begun on your account.
Why 2 days? Our team begins your audit, content production, and on-page optimization work within 1 business day of payment. The 2-day window covers accidental purchases or genuine change of mind before substantial deliverable work has been performed. Once work has begun, we cannot refund the time and resources already invested into your account.
After 2 Days — Cancel Anytime, No Refund
You may cancel your subscription at any time after the 2-day window. When you cancel:
- Your current paid month is fully served. We deliver all the deliverables for the plan tier you paid for during that month — content, citations, backlinks, schema, on-page optimization, performance reporting, and any other deliverables included in your plan.
- No prorated refunds are issued for the partially-elapsed month. You receive the full deliverables you paid for.
- No future charges will occur after cancellation.
- You keep all the work we have delivered — pages, posts, citations, backlinks, schema, and any other content created on your behalf are yours to retain.
To cancel, email sales@keygrow.co with your cancellation request. We process cancellations within 1 business day and confirm by email.
7. Chargebacks & Payment Disputes
Initiating a chargeback or payment dispute through your bank or card issuer after services have been performed — that is, outside the 2-day refund window described in Section 6 — is considered a breach of these Terms.
If a chargeback is initiated mid-service, KeyGrow LLC reserves the right to:
- Provide your bank, Stripe, or the card issuer with full documentation of services delivered — including dated work product, content URLs, communication records, access logs, and these Terms — to dispute the chargeback.
- Pursue collection of the disputed amount, plus any chargeback fees imposed on KeyGrow by Stripe or the card network.
- Permanently terminate the account and refuse future Services.
- Decline to deliver any further work on outstanding deliverables, regardless of payment status, until the dispute is resolved.
If you have a legitimate billing concern, please contact us first at sales@keygrow.co. We resolve genuine billing issues directly and quickly without the need for a chargeback.
8. Service Delivery, Timelines, Response Times & Results
Delivery Timelines
After you complete checkout and submit the onboarding form, our team begins work within 1 business day. Each plan's monthly deliverables are produced and published over the course of the billing month, typically front-loaded in the first half (audit, technical setup, initial content batch) with ongoing publishing, citation building, and link building in the second half. The monthly performance report is delivered by the 5th of the following month.
Support & Response Times
- Routine email replies: within 1 business day.
- Urgent issues (site outage caused by our work, broken integration, billing problem, security concern): within 4 business hours.
- Service hours: 9:00 AM – 6:00 PM Central Time, Monday through Friday, excluding US public holidays.
- Primary support channel: reply to any email from KeyGrow, or send a new email to sales@keygrow.co.
Response times start when an email is received during service hours. Emails received outside service hours start their response window at the next business day.
Results Disclaimer
KeyGrow strives to deliver high-quality Local SEO and AEO work, but we do not guarantee specific outcomes, including:
- Specific Google ranking positions for any keyword
- Specific traffic volumes
- Specific lead, call, or conversion volumes
- Specific positions in AI search engine answers (ChatGPT, Gemini, Perplexity, etc.)
- Recovery from existing Google penalties or algorithmic actions
Search engine and AI ranking results vary based on many external factors outside our control, including but not limited to: the competitiveness of your industry and geography, the age and authority of your website, the quality and accuracy of information you provide, ongoing algorithm changes by Google or AI providers, and actions taken by your competitors.
Local SEO and AEO are long-term disciplines. Visible ranking improvements typically begin showing within 60–90 days, with compounding improvements over 3–6+ months of consistent work. Subscribing for fewer than 3 months may not provide enough time for results to materialize.
Services are provided "as is" and without warranties, express or implied.
9. Client Credentials, Access & Security Responsibilities
To deliver Local SEO and AEO services, KeyGrow requires access to the client's website and supporting platforms. This typically includes one or more of:
- CMS login (WordPress, Shopify, Webflow, Wix, Squarespace, or similar) or an editor-level user account created for our team
- Google Business Profile manager access
- Google Search Console verified-user access
- Google Analytics 4 editor access
- Hosting / FTP / SFTP access in some technical scenarios
Without this access we cannot publish content, install schema, build location pages, optimize technical SEO, or claim and improve your Google Business Profile — the core deliverables of every plan.
KeyGrow's Security Commitments
- Credentials are stored only in encrypted password managers and are accessible only to the specific team members assigned to your account.
- We do not store credentials in plain text, in email, in chat, or in any unencrypted location.
- Access to your accounts is logged internally and reviewed periodically.
- Upon written request at the end of an engagement, we revoke our access and confirm credential rotation.
- We never use shared credentials for any purpose beyond the agreed scope of Services.
Client Security Responsibilities
The client is responsible for the security of their own accounts and systems. Specifically, the client agrees to:
- Use a strong, unique password for every account shared with KeyGrow.
- Enable two-factor authentication (2FA) on every account where it is supported — particularly Google accounts, CMS admin accounts, and hosting accounts.
- Keep their own systems patched and up to date, including the CMS, plugins, themes, and any third-party integrations.
- Avoid reusing passwords across multiple services or sharing the same credentials with other vendors.
- Rotate any credentials shared with KeyGrow at the end of an engagement if they wish to fully revoke access.
Liability for Client-Side Security Failures
KeyGrow is not liable for any security incident — including unauthorized access, data exposure, malware injection, content tampering, lost rankings, or downtime — that arises from any of the following client-side causes:
- Weak, reused, or previously-compromised passwords on the client's side.
- Lack of two-factor authentication on the client's accounts.
- Vulnerabilities in third-party plugins, themes, or services the client has installed on their website or hosting environment.
- The client sharing the same credentials with other vendors, contractors, or freelancers.
- The client's email account, support tools, or CMS being compromised independently of KeyGrow's systems.
- The client failing to revoke access from former employees, contractors, or agencies.
The client agrees to indemnify and hold KeyGrow harmless from any claim, loss, damage, or expense arising from such client-side security failures.
10. Data Processing Agreement
For clients subject to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), or similar data-protection laws, KeyGrow LLC will execute a written Data Processing Agreement ("DPA") on request, free of charge.
The DPA aligns with our Privacy Policy and covers:
- The data we process on the client's behalf and for what purposes.
- Sub-processors used to deliver the Services (Stripe, Resend, Google Cloud / Firebase, Microsoft, etc., as listed in our Privacy Policy).
- Standard Contractual Clauses (SCCs) for international data transfers, where applicable.
- Security measures, breach-notification obligations, and audit rights.
- Termination and data-return / data-deletion procedures.
To request a DPA, email info@keygrow.co with your company name, billing entity, and the regulatory framework you need the DPA to cover.
11. Intellectual Property
Work product delivered to clients. Content, blog posts, location pages, schema, citations, and on-page improvements created and published on the client's own website on the client's behalf are owned by the client. The client retains these deliverables after cancellation.
KeyGrow proprietary materials. All internal frameworks, templates, content briefs, audit methodologies, prompt libraries, training materials, branding, and software tools used by KeyGrow to produce the work remain the intellectual property of KeyGrow LLC.
Clients and third parties may not:
- Copy, reproduce, resell, share, or distribute KeyGrow's proprietary frameworks, templates, methodologies, or training materials without written permission.
- Use KeyGrow's name, logo, or testimonials without written permission.
12. Acceptable Use & Client Conduct
By using the Services, you agree that your business and the website we are optimizing comply with the following Acceptable Use rules.
Client Content & Compliance
Clients are responsible for ensuring that:
- All content provided to us (images, text, videos, logos) is legally owned or licensed.
- Advertising claims comply with local, state, and federal laws, including FTC disclosure rules, health-claim regulations, and any industry-specific requirements (legal, medical, financial, etc.).
- Information provided during onboarding is accurate to the best of the client's knowledge.
- Industry licensing — where the client's industry requires a license to operate (legal, medical, real estate, financial advisory, etc.) — the client holds an active license in good standing.
Prohibited Industries & Content
We do not provide Services to, and clients may not use the Services to promote:
- Illegal goods or services in the client's jurisdiction or in jurisdictions targeted by the campaign.
- Adult or pornographic content.
- Unlicensed gambling, sports betting, or lottery services.
- Payday loans, predatory lending, or unlicensed financial advisory.
- Multi-level marketing, pyramid schemes, or get-rich-quick offers.
- Cryptocurrency or token speculation that promises specific returns or financial gain.
- Health, medical, or supplement claims that are misleading, unsubstantiated, or made without required certifications.
- Hate speech, harassment, or content that discriminates on the basis of race, religion, gender, sexual orientation, disability, or national origin.
- Content involving the exploitation, sexualization, or endangerment of minors (zero tolerance).
- Spam, malware, phishing, deceptive landing pages, or any form of fraud.
- Content that infringes copyright, trademark, patent, or other intellectual-property rights.
- Doxxing or sharing of private personal information without consent.
Prohibited Tactics
KeyGrow does not provide, and clients may not request, any of the following SEO tactics:
- Black-hat SEO — PBNs (private blog networks), link farms, paid link schemes, hidden text, keyword stuffing, or content cloaking.
- Negative SEO targeting competitors.
- Fake reviews on Google Business Profile, Yelp, Trustpilot, or any other review platform.
- Reputation suppression of legitimate negative reviews.
- Scraping, harvesting, or other unauthorized access to third-party websites or APIs.
Conduct Toward Our Team
Clients agree to communicate professionally with our team. We reserve the right to terminate Services without refund (subject to Section 6) for clients who:
- Engage in abusive, threatening, harassing, or discriminatory behavior toward any KeyGrow team member.
- Make demands beyond the scope of the agreed plan and refuse reasonable solutions.
- Repeatedly miss communication, fail to provide required access, or otherwise prevent us from delivering the work.
We may refuse or terminate any project that violates this Acceptable Use Policy, ethical standards, or applicable law, and we reserve the right to keep payment for work already performed.
13. Third-Party Services
We use third-party platforms and tools to deliver the Services, including:
- Google (Search, Business Profile, Search Console, Analytics, Ads)
- Microsoft (Bing Webmaster, Microsoft Advertising, Clarity)
- Meta (Facebook, Instagram advertising)
- Stripe (payment processing)
- Resend (email delivery)
- Firebase / Google Cloud (data storage)
- GoHighLevel and other marketing automation tools
We are not liable for issues caused by third-party platforms, including outages, account suspensions, policy or pricing changes, algorithm updates, indexing changes, or API breakage.
14. Limitation of Liability
To the fullest extent permitted by law, KeyGrow LLC is not liable for:
- Loss of revenue, business opportunity, or profit
- Errors or delays caused by third-party platforms (Google, Stripe, hosting, etc.)
- Incorrect, incomplete, or fraudulent data provided by the client
- Misinterpretation or misuse of our Services or deliverables
- Security incidents resulting from client-side failures (see Section 9)
- Loss of rankings due to algorithm changes, manual actions, or competitive market shifts
Our total aggregate liability arising from or related to these Terms or the Services is limited to the total amount you paid to KeyGrow in the 30 days preceding any claim.
15. Indemnification
You agree to indemnify and hold KeyGrow LLC harmless from any claims, damages, losses, or expenses arising from:
- Your misuse of our Services
- Your violation of these Terms (including the Acceptable Use Policy in Section 12)
- Any content you provide that infringes on others' rights
- Security failures on your side as described in Section 9
- Chargebacks initiated outside the refund window described in Sections 6 and 7
16. Termination
We may suspend or terminate Services if:
- Payments are overdue or chargebacks are initiated outside the refund window
- You violate these Terms (including the Acceptable Use Policy in Section 12)
- You engage in abusive, fraudulent, or harmful behavior toward our team
- The client's industry, content, or campaign violates Section 12 or applicable law
You may terminate Services by emailing sales@keygrow.co as outlined in Section 6 (Refunds & Cancellation).
17. Changes to Terms
We may update these Terms periodically. Material changes will be communicated to existing subscribers via email at least 14 days before they take effect. Continued use of our Services after the effective date constitutes acceptance of the revised Terms.
18. Governing Law
These Terms are governed by the laws of the State of Wyoming, USA, where KeyGrow LLC is registered. Any disputes shall be resolved in the state or federal courts located in Wyoming.
